These general terms and conditions of services of the Play&Plug platform, together with their appendices, (the "General Terms of Services " or "GTS") are entered into by Wakam, a public limited company ("société anonyme") with share capital of EUR 5 432 928, whose registered office is located at 120-122 rue Réaumur, 75002 Paris, France, registered with the Trade and Companies Register of Paris under number 562 117 085, with the following intra-community VAT number: FR59562117085 , represented for the purposes hereof by Catherine CHARRIER-LEFLAIVE in her capacity as Chief Executive Officer ("Wakam") and Wakam's partner, as designated in the Purchase Order (the "Partner"). The Partner and Wakam are hereinafter referred to individually as a "Party" and collectively as the "Parties".
Wakam has designed and developed the Play&Plug Platform, which enables users to subscribe to services related to the creation, distribution, and management of tailor-made insurance solutions. To do so, Partners are required to create an account on the website, subscribe to the services offered by Wakam, validate the Purchase Order, accept the terms and conditions outlined in this document, and establish a distribution agreement with Wakam.
"APIs": means an Application Programming Interface made available by Wakam to allow Partners to access and use the Wakam API services.
"Business Day": refers to any day excluding Saturdays, Sundays, public holidays, or days on which banks are required to close by law or regulation.
"Calendar Day": refers to each day indicated on the calendar from midnight, including Saturdays, Sundays, and public holidays.
“Conditions”: means together the General Terms of Services, the appendices to the GTS (including the Purchase Order and Specific Conditions), the General Conditions of Use of the Website, the appendices to the GCU, the Privacy Policy and the Cookies Policy.
"Confidential Information": means any information of a technical, financial, commercial or otherwise sensitive nature exchanged between the Parties in connection with the Conditions and the provision of the Services.
“Cookies policy”: refers to Wakam's cookies policy, accessible **here.**
"Distribution and Services Agreement/DSA": refers to all contractual documents executed for the implementation of the distribution partnership between Wakam and the Partner. These documents set out the legal and commercial framework of the relationship with the Partner and authorise the Partner to distribute, subscribe to and/or manage the Products.
"Documentation": means the description of the functionalities and, in general, any other document relating to the use of the Services made available to the Partner by Wakam as part of the Conditions.
"Maintenance": refers to user support, corrective maintenance (identification, diagnosis, and correction of anomalies), and adaptive maintenance of the Platform provided by Wakam, as described in the Contract.
"Purchase Order": means the order form issued by Wakam and accepted by the Partner, listing the Services subscribed to and setting out the financial conditions authorising the Partner to access and use the Services. The Purchase Order is governed by the GTS to which it refers.
"Partner": refers to an intermediary entity acting exclusively for business purposes and wishing to market, distribute and manage one or more insurance products, as identified on the Purchase Order.
"Personal Data": means any information relating to an identifiable natural person or who can be identified, directly or indirectly, by reference to an identification number or to one or more elements that are specific to that natural person.
